Terms of Service

Please read these terms carefully. By using Simsendly you agree to be bound by them.

Effective April 24, 2026

Acceptance of Terms

By accessing or using Simsendly (the "Service") you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Description of Service

Simsendly is a carrier-native SMS gateway platform that enables GoHighLevel agencies to send and receive SMS, RCS, iMessage, and WhatsApp messages through physical Android devices and SIM cards controlled by the customer.

The Service includes:

  • A web dashboard for device management, conversation monitoring, and analytics
  • An Android gateway application (APK) installable on customer-owned devices
  • A backend API that routes messages between GoHighLevel and paired devices via Firebase Cloud Messaging (FCM)
  • Integration with the GoHighLevel Marketplace App and Custom Provider webhook system

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any such modification, suspension, or discontinuance.

Accounts & Registration

You must register for an account to use the Service. You agree to:

  • Provide accurate, complete, and current registration information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorised access to your account
  • Be solely responsible for all activities that occur under your account

You must be at least 18 years old and have legal capacity to enter into contracts. You may not use the Service if you are located in a country subject to US export sanctions.

One account may represent multiple team members via the Team settings. Account sharing across unaffiliated organisations is not permitted.

Acceptable Use

You may use Simsendly only for lawful business communication purposes consistent with applicable law, including:

  • Sending transactional messages to customers who have opted in to receive them
  • Two-way customer support conversations
  • Appointment reminders, confirmations, and follow-ups
  • Lead nurture workflows within the limits of your SIM plan and carrier policies
  • Internal team notifications

You are solely responsible for obtaining all necessary consents from message recipients. You must honour opt-out requests (STOP, UNSUBSCRIBE) within the timeframe required by applicable law (CAN-SPAM, TCPA, GDPR, CASL, or equivalents in your jurisdiction).

Simsendly automatically processes STOP keywords. You must not override or circumvent this feature.

Prohibited Use

You must not use Simsendly to send:

  • Unsolicited commercial messages (spam) to recipients who have not opted in
  • Messages promoting illegal goods or services
  • Phishing, smishing, or social-engineering attacks
  • Harassment, threats, hate speech, or discriminatory content
  • Malware, viruses, or malicious links
  • Bulk political campaign messages without required disclosures
  • Lottery, sweepstakes, or gambling promotions where prohibited
  • Content prohibited by the carrier on whose network the SIM operates

You must not:

  • Attempt to bypass, disable, or circumvent any rate-limiting or anti-abuse features of the Service
  • Resell or sublicense access to the Service without our written consent
  • Reverse-engineer, decompile, or extract source code from the Service
  • Use the Service to benchmark or build competing products
  • Impersonate Simsendly or any other person or entity
  • Interfere with the Service's infrastructure, including denial-of-service attacks
Violation of these prohibitions may result in immediate account suspension without refund. We reserve the right to report illegal activity to relevant law enforcement authorities.

Hardware & SIM Requirements

The Service requires customer-owned physical hardware. You are responsible for:

  • Procuring, operating, and maintaining the Android devices used as gateways
  • Ensuring the devices have active SIM cards with sufficient SMS/data allowances
  • Keeping devices powered on, connected to Wi-Fi, and running the Simsendly gateway app
  • Disabling battery optimisation for the gateway app to prevent background-kill
  • Complying with your carrier's terms of service regarding high-volume messaging

Simsendly is not responsible for hardware failures, carrier disruptions, device theft, or SIM card issues. Charges for your cellular plan are your own responsibility.

The grey-labelled Android APK is provided for your agency's use with your clients. You may not redistribute the APK to third parties outside of your agency operations.

Billing & Cancellation

Subscription fees are billed monthly in advance. Pricing is as displayed on the pricing page at the time of subscription. We reserve the right to change prices with 30 days' notice.

Free trial: New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period your account will be paused unless you subscribe.

Payment: Payments are processed by Stripe. We store only your subscription status and Stripe customer ID; your card details are held by Stripe under their PCI-DSS compliance programme.

Cancellation: You may cancel at any time from the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.

Refunds: We do not offer refunds except where required by law or at our sole discretion in cases of billing errors. If you believe you were charged in error, contact support@expertlevel.io within 30 days.

Failed payments: If a payment fails, we will retry three times over 7 days. After the final retry your account will be suspended. Reactivation restores all data and devices.

Carrier Compliance

Carrier-native messaging means your messages originate from a real consumer or business SIM card. This comes with responsibilities:

  • You must comply with the messaging policies of the carrier(s) whose SIM cards you use (AT&T, T-Mobile, Verizon, or equivalent).
  • You must not send volume that exceeds your carrier plan limits or triggers anti-spam detection.
  • For new SIMs, you must follow a warm-up schedule before sending at full volume.
  • You are responsible for maintaining a deliverability reputation on your numbers.
  • Simsendly is not a 10DLC/A2P registered provider. You are using consumer SIMs, which may have lower throughput than A2P registered short codes.

Simsendly provides SIM warm-up guidance and rate-limiting tools, but cannot guarantee carrier acceptance of your messages. We are not liable for carrier-side filtering, number blocking, or regulatory action resulting from your messaging practices.

Intellectual Property

Simsendly and its licensors own all intellectual property rights in the Service, including the software, design, brand marks, and documentation. Nothing in these Terms transfers ownership of any intellectual property to you.

You retain ownership of your data — the contacts, conversation content, and customer relationships in your account. By using the Service, you grant Simsendly a limited licence to process your data solely as required to provide the Service.

You may not use the Simsendly name, logo, or brand in any way that implies endorsement without our prior written consent.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SIMSENDLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We do not warrant that messages will be delivered within any specific timeframe, or that carrier networks will accept messages sent through the Service. Delivery depends on factors outside our control including carrier policies, device uptime, and network conditions.

Simsendly is not a telecommunications provider, carrier, or licensed messaging aggregator. We are a software platform that enables you to use your own SIM cards for messaging.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMSENDLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SIMSENDLY IN THE 3 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SIMSENDLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF SIMSENDLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Important: You are responsible for compliance with TCPA, GDPR, CASL, and all applicable messaging laws in your jurisdiction. Simsendly provides tools to help (STOP handling, opt-out lists) but does not provide legal compliance advice. Consult a lawyer for your specific situation.

Termination

By you: You may close your account at any time from the dashboard. Upon closure, your data will be deleted within 30 days (except where retention is required by law).

By us: We may suspend or terminate your account immediately if:

  • You violate these Terms, particularly the Prohibited Use section
  • Your account is used for spam, fraud, or illegal activity
  • Your payment fails and is not remedied within 14 days
  • Continuing to provide the Service would create legal or reputational risk for Simsendly

For minor violations we will typically send a warning before suspension. For serious violations (spam, abuse, fraud) we may act immediately without notice.

Upon termination, your right to use the Service ceases immediately. We will provide a 7-day data export window before deletion.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Email registered users at least 14 days before the changes take effect
  • Update the "Effective" date at the top of this page
  • Display a notice in the dashboard

Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must cancel before the effective date.

For non-material changes (typos, clarifications that don't affect your rights), we may update without separate notice.
